No information contained in the Report was found to be inconsistent with facts. The Report fairly presents the Company’s operational management and financial condition for the first half of the year;
   (3) Prior to issuing this opinion, no breach of confidentiality rules was identified among personnel involved in the preparation and deliberation of the semi-annual report.

   This proposal did not involve any circumstances requiring abstention from voting.
